The agreement
These Terms of service (“Terms”) form a binding agreement between you and the operator of All in Second (“we,” “us”). They apply to all visitors and to registered users. We may update the Terms as described in Changes.
The service
All in Second provides an online invoice builder, templates, and optional account features (such as saving drafts and settings). We may add, change, or discontinue features to keep the service reliable and sustainable. We do not warrant uninterrupted or error-free operation.
Accounts & eligibility
- You must provide accurate registration information and keep your credentials secure.
- You are responsible for all activity under your account unless you notify us of unauthorized use.
- You must be old enough to form a binding contract where you live (typically 18+, or the age of majority in your jurisdiction).
- We may refuse registration or close accounts that violate these Terms or pose a security risk.
Acceptable use
You agree not to:
- Use the platform for unlawful purposes or to generate fraudulent, misleading, or harassing invoices or content.
- Attempt to gain unauthorized access to our systems, other users’ data, or to probe, scan, or test vulnerabilities.
- Overload, disrupt, or automate access in a way that impairs the service (including excessive scraping or bots without permission).
- Upload malware or content that infringes others’ intellectual property or privacy rights.
- Resell or redistribute the service in a way that competes with or substitutes our offering without written agreement.
We may investigate violations and cooperate with law enforcement where appropriate.
Your invoice content
You retain ownership of the business data you enter. You grant us a limited license to host, process, and display that content solely to operate the service for you (e.g. rendering previews).
Intellectual property
The platform’s design, code, branding, default templates, and documentation are owned by us or our licensors. Except for the limited rights granted in these Terms, no rights are transferred to you. You may not copy or reverse-engineer the service except as allowed by mandatory law.
Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE AND OUR SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) FIFTY U.S. DOLLARS (USD $50), IF YOU HAVE NOT PAID ANYTHING, UNLESS MANDATORY LAW REQUIRES OTHERWISE.
Indemnity
You will defend and indemnify us against third-party claims, damages, and costs (including reasonable legal fees) arising from your content, your use of the service in violation of these Terms, or your violation of applicable law — except to the extent caused by our gross negligence or willful misconduct.
Suspension & termination
You may stop using the service at any time. We may suspend or terminate access if you breach these Terms, if we must comply with law, or if we wind down the service with reasonable notice where practicable. Provisions that by nature should survive (e.g. liability limits, indemnity) will survive termination.
Changes
We may modify these Terms. We will post the updated version on this page and update the “Last updated” date. Continued use after changes become effective constitutes acceptance. If you do not agree, discontinue use and close your account.
Governing law
These Terms are governed by the laws of the jurisdiction in which the operator is established, without regard to conflict-of-law rules, except where consumer protection laws in your country require otherwise. Courts in that jurisdiction have exclusive venue, subject to mandatory exceptions.
